Free Non Disclosure Agreement Download
Whenever I undertake any business which involves confidentiality issues I always get the third party to sign a non disclosure agreement or otherwise known as a confidentiality agreement; and my rule is this: If they do not sign it, I do not do business with them, NO EXCUSES!
I have trusted a lot of people in the past (including friends and family) that have taken my ideas or information and benefited from it themselves. I have uploaded the agreement I use today which was drafted up for me by my UK solicitor. Its completely free to download but please accept that it is used upon your own discretion and I cannot be liable for any errors or incorrect legal points. The form works for me (for UK law) and should be a good foundation for you to design your own agreement.

This form has proved invaluable for me over the years and although the initial cost to get it drawn up was hundreds of pounds it has probably saved me thousands. Once the third party signs the binding agreement they are legally obliged to keep all the matters discussed between you and them completely confidential. The recipient agrees not to disclose, share, reproduce or use information that is deemed confidential.
If they invalidate the agreement and you can prove they are at fault; you will have grounds to take legal action against them. This agreement clearly defines what type of information is to be kept confidential and stipulates the penalties for non-compliance.
The fact they have entered into the agreement does deter 99.9% of people who sign them from disclosing any confidential information. So make sure when you next work on a project which involves sensitive details or data; you get any other people involved to sign an agreement. Never use a handshake or gentleman’s agreement; they are completely worthless!
